Under The Public Contracts (Scotland) Regulations 2015, Regulation 33(1)(b)(ii) and (iii): A contracting authority may award a public contract following negotiated procedure without prior publication of a contract notice or prior information notice…where the works, supplies or services can be supplied only by a particular operator…for the following reasons-“competition is absent for technical reasons; The protection of exclusive rights, including intellectual property rights.” Badger Software Limited own the intellectual property for the Clio 2 system, and they are the sole organisation who can provide the licensing and support for this system.
